EXPORT AGENCY AGREEMENT BETWEEN (name of representative) AND (name of seller) VI. DELIVERY A. Unless otherwise agreed to in writing by Seller, delivery will be defined as the date upon which the order is available for pickup at the Seller's facility (Ex Factory or Ex Works delivery date). B. If a sale is lost because of late delivery, and the late delivery is not the result of circumstances of "Force Majeure" as indicated in Item XI.A below, Seller will compensate Representative on a reasonable basis for such late delivery. VII. PAYMENT A. Unless otherwise agreed to in writing by Seller, payment for all Products, except spare parts, will be in the form of an Irrevocable Letter of Credit payable at the Seller's bank upon presentation of required documentation. B. Payment for spare parts will be due and payable in full sixty (60) days after date of the Seller's commercial invoice, or forty-five (45) days after receipt of order by representative, whichever occurs first. VIII. WARRANTY AND REPAIR SERVICE A. Seller has appointed the following organization to be responsible for repair and service of all Products in Territory as indicated in Item IV. of this Warranty Agreement (Attachment C to this Agreement): (Name of company): _________________________ (Address of company): _________________________ (City/Country): _________________________ (Telephone/Fax): _________________________ (URL and E-mail): _________________________ B. Representative will cooperate fully with, and provide information to above service organization as requested by Seller. C. Representative will be responsible for ensuring that the above service organization maintains a sufficient inventory of spare parts and components to provide prompt and reliable repair and warranty service to all owners of Products within Territory. D. With the exception of items replaced without charge under the Warranty Agreement, all orders from the above service organization for parts and components must be placed through the Representative who will receive a commission as per Item V.D. E. Attachment C is the sole Warranty Agreement under which this Agreement has been executed. Representative agrees to advise potential purchasers in advance of sales of the responsibilities of Seller as specified in this Warranty Agreement. Representative also agrees that modifications to or extensions of this Warranty Agreement, without the prior written authorization of Seller, will be the responsibility of Representative, without further recourse to Seller.
